"CAC Annual Returns — The Obligation Every Registered Nigerian Business Has and Most Are Ignoring"

You registered your business. Got your certificate. Celebrated.
But there is something CAC requires from you every single year after that — and most Nigerian business owners have no idea it exists.

Let's talk about something nobody told you when you registered your business.

CAC registration is not a one-time event.
It is the beginning of an ongoing legal relationship between your business and the Corporate Affairs Commission.
And like every relationship — it requires regular attention.
That attention is called Annual Returns.

What Are Annual Returns?
Annual Returns is the yearly filing that every CAC-registered business in Nigeria is legally required to submit to the Corporate Affairs Commission.
It is your business's way of saying to the government:
"We are still here. We are still operating. Here is our current information."

It is not a tax return. It is not a financial audit. It is not a profit declaration.
It is a compliance filing — a legal obligation that exists simply to keep your business in good standing with CAC.

Who Must File Annual Returns?
Every registered entity — no exceptions:
✅ Business Names
✅ Limited Liability Companies (LLCs)
✅ Incorporated Trustees (NGOs, churches, schools)
✅ Foreign companies operating in Nigeria.
If you are registered — you must file. Every year. Without exception.

What Information Is Filed?
For Business Names:
→ Confirmation that the business is still operational.
→ Current address and contact information.
→ Current nature of business activities.
→ Details of the proprietor.

For Limited Liability Companies:
→ Current list of directors and their details.
→ Current shareholding structure.
→ Registered office address.
→ Summary of the company's share capital.
→ Statement of affairs — confirming whether the company is still active.
→ Details of the company secretary (if applicable)

For Incorporated Trustees:
→ Current list of trustees and their details.
→ Current registered office address.
→ Details of organizational activities.
→ Any changes to the organization's constitution or leadership.

When Must Annual Returns Be Filed?
Business Names:
Within 18 months of registration for the first filing, then annually on or before the anniversary of your registration date.

Limited Liability Companies:
Within 42 days after each Annual General Meeting (AGM), or no later than 13 months after the last filing for companies that have been operating for more than one year.

Incorporated Trustees:
Once every two years — specifically, between January and June of each filing year.

What Happens If You Don't File?
This is where most Nigerian business owners get a very unpleasant surprise.

Beyond penalties — the bigger consequences:
❌ Struck off the register — CAC can remove your business from the register entirely for persistent non-compliance. This means your RC number becomes invalid. Your certificate is worthless. Your business legally ceases to exist — even if it is physically still operating.
❌ Loss of good standing — banks, regulatory bodies, and major clients increasingly run CAC status checks before engaging businesses. A company not in good standing can be flagged, frozen, or rejected.
❌ Tender disqualification — government procurement processes require proof of current CAC compliance. Outstanding annual returns = automatic disqualification from bids.
❌ Difficulty accessing funding — development finance institutions and grant bodies verify CAC compliance status before disbursement. Non-compliance stops funding in its tracks.
❌ Compounding penalties — the longer you wait, the more you owe. A business that hasn't filed in 5 years is looking at significant accumulated penalties — all of which must be cleared before the business can be restored.

The Good News — It Can Be Fixed
If your annual returns are outstanding — whether for one year or several — they can be filed retroactively.
Penalties can be calculated and cleared.
Your business can be restored to good standing.

And going forward — we handle your annual returns filing for you. Every year. On time. Without you having to think about it.
Your job is to run your business.
Our job is to keep it legally compliant.

Annual Returns Filing Timeline at a Glance:
📅 Business Name: Annually from registration date
📅 LLC: Within 42 days of AGM or 13 months from last filing
📅 Incorporated Trustees: Every 2 years — January to June
Cost of non-compliance: Compounding penalties + possible strike-off
Cost of compliance: Significantly less. And peace of mind.
